Important Legal and Regulatory Notice
- Informational only; not legal, tax, or investment advice. Nothing herein is an offer, solicitation, or recommendation to buy or sell any asset.
- Geographic restrictions. The Services and any associated tokens are not offered or made available, directly or indirectly, to: (a) any “U.S. Person” (as defined in Regulation S under the U.S. Securities Act of 1933), (b) any person located in, organized in, or resident in the United States, or (c) persons in any jurisdiction where use would be unlawful or require approvals we have not obtained. Do not use VPNs or other means to circumvent these restrictions.
- Regulatory classification risk. Digital assets may be deemed securities, commodities, or otherwise. Characterizations vary by jurisdiction and can change. We may modify, geoblock, or discontinue features to comply with law.
- Experimental use; no guarantees of value. Any referenced tokens are for consumptive, protocol-related, or experimental use only. No promises of profit, price appreciation, or income. Tokens confer no rights to assets, revenue, or distributions.
1. Terms of Service
1.1 Agreement to Terms
These Terms govern your access to and use of the Sites, open-source code we publish, dashboards, and related tools and content (collectively, the “Services”). By using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.
1.2 Eligibility, Representations, and Geographic Restrictions
You represent and warrant that you:
- are of legal age and have capacity to enter into these Terms;
- are not a U.S. Person, are not located in the United States, and are not acting for or on behalf of a U.S. Person;
- are not in a comprehensively sanctioned jurisdiction and are not on applicable sanctions lists;
- will comply with all applicable laws (including AML/CTF, export controls, consumer protection, data protection, and tax laws);
- will not use VPNs or other means to circumvent geo-blocking or access restrictions;
- access the Services for consumptive, protocol-related, or experimental purposes, with full awareness of the risks.
We may require attestations, screening, and other controls, and may deny, suspend, or terminate access at our discretion.
1.3 Key Definitions
- Bitcoin L1: The Bitcoin base layer blockchain.
- Digital Assets: Cryptographic tokens, coins, NFTs, or similar digital property on a blockchain.
- Ordinals: Digital artifacts inscribed on the Bitcoin blockchain. “NodeMonkes” is a third-party Ordinals collection unaffiliated with NodeStrategy.
- Operations Wallet(s) or Treasury: One or more non-custodial wallets that may hold or manage digital artifacts and other Digital Assets for protocol maintenance, research, experimentation, and ecosystem support. These activities are discretionary and not conducted to generate profits or support token price.
- $NODESTRAT Token: A token that may enable certain protocol-related features or access, if and when available. It confers no equity, ownership, governance (unless expressly added via documented update), revenue share, rights to distributions, or claims on assets.
- Third-Party Venues: Independent platforms (e.g., wallets, marketplaces, aggregators) not operated or controlled by NodeStrategy.
1.4 Protocol and Services Description
NodeStrategy publishes open-source software and informational interfaces that enable experimentation with on-chain digital artifacts on Bitcoin. The Services may surface public blockchain data and may allow you to construct or broadcast transactions using your own wallets and tools. Any references to tokens or Digital Assets are informational and not solicitations. Features may be unavailable in certain jurisdictions and may require additional eligibility checks.
1.5 Non-Custodial; No Intermediation, Brokerage, or Advisory
You are solely responsible for your wallets, private keys, and security. We:
- do not take custody of user assets;
- do not intermediate, route, match, or settle trades;
- do not operate as a broker, dealer, exchange, ATS, custodian, or investment adviser; and
- do not provide personalized advice.
Where our interfaces facilitate interaction with independent protocols or marketplaces, those interactions occur directly between you and those third parties at your sole risk and subject to their terms.
1.6 Fees, Costs, and Taxes
- Network fees: You are responsible for all network/miner fees.
- Third-party fees: Independent venues may charge fees we do not set or control. We may from time to time receive revenue shares, grants, or donations and may use them for operational, research, security, or ecosystem purposes at our discretion.
- Taxes: You are solely responsible for tax obligations arising from your activities.
1.7 Operational Approach and Controls
- Automation and human review: Some operations are automated through open-source code to reduce operational risk and improve reliability; other actions require human review for security, maintenance, or compliance. All such actions are discretionary, may change without notice, and are not scheduled, formulaic, or guaranteed.
- Controls and change management: Where practical, we use publicly visible processes (e.g., timelocks, multisig approvals, or published proposals) for parameter changes. We may use emergency measures for security and may update or disable automation to address risks or comply with law.
- No price-support commitment: Actions by the Operations Wallet(s)/Treasury (including any minting, burning, or asset transfers), if they occur, are for protocol-related or technical reasons and are not intended to affect token price.
1.8 Third-Party Services and Venue Risks
Your use of third-party wallets, sites, marketplaces, or protocols is at your own risk and subject to those providers’ terms. We do not control and are not responsible for their availability, performance, security, or actions.
1.9 Acknowledgement and Assumption of Risks
You expressly acknowledge and assume:
- Market risk: Digital assets are volatile and may lose all value; liquidity may be limited.
- Operational/technical risk: Code may contain bugs; exploits, forks, congestion, or discontinuation may occur.
- Centralization risk: Some actions (e.g., code publishing, documentation curation, or site parameter changes) may be performed by a small team or multisig.
- Irreversibility: Blockchain transactions are generally final.
- Regulatory risk: Laws evolve and may restrict or recharacterize activities; we may modify, geoblock, or discontinue features to comply with law.
- No claims on assets: Holding any token confers no claim on assets, revenue, or distributions.
1.10 User Conduct and Prohibited Activities
Do not:
- violate law (including market manipulation, fraud, or sanctions evasion);
- infringe IP or privacy rights;
- use bots or automated means without permission;
- upload malicious code or attempt to hack or disrupt the Services or any blockchain network;
- circumvent geo-blocks, eligibility checks, or other access controls.
1.11 Intellectual Property
We retain rights in Site content, marks, and code we author. We grant a limited, revocable, non-exclusive, non-transferable license to use the Services as intended, subject to these Terms. Feedback is licensed to us on a perpetual, worldwide, royalty-free basis. For DMCA notices, contact https://x.com/ndestrategy. Open-source code is subject to its applicable license.
1.12 Disclaimers of Warranties
The Services are provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted, secure, or error-free operation.
1.13 Limitation of Liability
To the maximum extent permitted by law, we are not liable for indirect, special, incidental, consequential, exemplary, or punitive damages, or lost profits, data, goodwill, or opportunities. Our aggregate liability for all claims related to the Services will not exceed the greater of US$100 or amounts you paid directly to NodeStrategy for the specific Service giving rise to the claim in the 12 months preceding the event.
1.14 Indemnification
You will indemnify, defend, and hold harmless NodeStrategy, its contributors, affiliates, and service providers from claims and expenses (including reasonable attorneys’ fees) arising out of your use of the Services, your violation of these Terms, or your violation of law or third-party rights.
1.15 Changes, Suspension, and Termination
We may change these Terms at any time. We may suspend or terminate access for any reason, including suspected violations. Where feasible, we will provide notice of material changes.
1.16 Governing Law, Dispute Resolution, and Class Action Waiver
- Governing law: New York law governs, excluding conflict-of-law rules. If mandatory local law prohibits agreeing to New York law, do not use the Services.
- Informal resolution: Contact https://x.com/ndestrategy within 60 days to attempt informal resolution.
- Arbitration: Unresolved disputes are finally resolved by binding arbitration administered by JAMS in New York, New York, under its Expedited Procedures, before a single arbitrator, in English.
- Class/jury waiver: Claims must be brought individually; no class, consolidated, or representative actions. Jury trial is waived.
1.17 Communication Safety
We will never ask for private keys or seed phrases. Beware of impersonators. Verify official URLs listed on nodestrategy.app.
1.18 Miscellaneous
These Terms are the entire agreement regarding the Services. If any provision is invalid, the remainder remains effective. You may not assign your rights without our written consent; we may assign ours.
2. Privacy Policy
A. Scope and Controller
This Privacy Policy explains how NodeStrategy (“we,” “us”) collects and uses data in connection with the Services. For EEA/UK users, NodeStrategy is the controller.
B. What We Collect
- Wallet and Transaction Data: Public blockchain addresses, transaction hashes, and metadata.
- Usage and Diagnostic Data: IP address, device/browser type, pages viewed, timestamps, referral sources, diagnostic logs.
- Communications Data: Email, social handles, and messages you send us.
- Cookie Data: Identifiers and session data via cookies/SDKs.
On-chain caveat: On-chain data is public, permanent, and cannot be altered by us.
C. Sources of Personal Data
From you, through your use of the Services, from public blockchains, and from service providers.
D. Purposes
To operate and improve the Services; provide support; secure against fraud/abuse; analyze usage; comply with legal obligations; and enforce these Terms.
E. Legal Bases for Processing (EEA/UK)
Performance of a contract; legitimate interests; consent (where required, e.g., non-essential cookies/marketing); and legal obligations.
F. Sharing and Disclosures
With service providers (hosting, analytics, security); professional advisors; authorities where required by law; in a corporate transaction; and as you direct through on-chain actions. We do not sell personal data for money.
G. Cookies and Similar Technologies
We use necessary cookies and, with consent where required, analytics/performance cookies. Manage preferences in the banner or your browser.
H. Data Retention and Security
We retain personal data only as needed for stated purposes and legal requirements. We implement reasonable security measures, but no system is 100% secure. You must safeguard your wallet keys.
I. International Transfers
Where we transfer personal data outside the EEA/UK, we use lawful transfer mechanisms (e.g., SCCs) and conduct risk assessments.
J. Your Privacy Rights
Depending on your location, you may have rights to access, correct, delete, port, or object to processing. Contact https://x.com/ndestrategy. We honor Global Privacy Control (GPC) signals where legally required. No discrimination for exercising rights.
K. Miscellaneous Privacy Terms
The Services are not intended for children under 18. We may update this policy; the “Last Updated” date reflects the latest revision.
3. Key Risks and Disclosures (Short Form)
- No investment advice or solicitation.
- Volatility and loss: Digital assets can lose all value; liquidity can disappear.
- Operational/technical risk: Experimental code, bugs, exploits, forks, and congestion can cause loss.
- Centralization risk: A small team or multisig may perform certain actions.
- Third-party risk: Independent venues we do not control may fail or change terms.
- Regulatory risk: Activities or assets may be restricted or recharacterized; we may modify or discontinue features to comply with law.
- No claims on assets or revenues: Tokens confer no rights to assets, revenue, or distributions. No price-support commitment.
4. Operations Wallet and Treasury Policy (Operational Overview)
I. Purpose and Scope
The Operations Wallet(s)/Treasury supports protocol-related experimentation, maintenance, research, and ecosystem sustainability. It is not a pooled investment product or a vehicle designed to generate profits or returns for token holders. Holdings, if any, are maintained in non-custodial wallets and may change over time. Activities may change or cease at any time.
II. Revenue Sources and Fee Policy
We may receive third-party grants, revenue shares, affiliate fees, or donations. Any such inflows may be used for operational, security, research, or ecosystem purposes at our discretion. We do not operate a centralized exchange or set third-party trading fees.
III. Asset Guidelines
The Treasury may hold digital collectibles (e.g., certain Ordinals such as NodeMonkes) and/or other digital assets primarily for protocol-related experimentation, curation, research, or operations. We intend to avoid activities that would require registration as an investment company. If an asset or activity presents material regulatory concerns, we may decline, divest, or discontinue it.
IV. Portfolio Adjustments
The Treasury may acquire, hold, or dispose of assets for operational reasons (e.g., security, experimentation, or rebalancing). There are no preset price targets, tiers, ladders, commercialization schedules, or commitments to execute any particular trades.
V. Token Supply Management and No Price-Support Commitment
There is no obligation to repurchase or burn any tokens. Any mint, burn, or supply adjustment, if it occurs, would be discretionary and for protocol-related, technical, or experimental reasons (e.g., mitigating spam or aligning utility). Such actions may incidentally affect token supply or liquidity, but are not intended to affect token price. No proceeds, if any, are earmarked for buybacks or distributions. Token holders have no rights to receive proceeds or distributions.
VI. Custody, Security, and Access Controls
Assets are held in non-custodial wallets managed by authorized signers, typically using multisig and hardware devices. Operational security practices may evolve.
VII. Governance, Controls, and Change Management
Where practical, changes to operational parameters are made via publicly visible processes (e.g., timelocks, multisig approvals, or published proposals). Emergency measures may be used for security. We may update or disable automation to address risks or comply with law. Policy parameters may be updated to address legal, security, or operational needs. Material changes will be communicated publicly where feasible.
VIII. Transparency and Reporting
We may publish wallet addresses and periodic summaries on a best-efforts basis for transparency. These disclosures are informational and non-binding.
Annex A — Current Public Disclosures (Non-Binding Summary)
- Venues: Independent third-party marketplaces and tools (e.g., Magic Eden, non-custodial wallets). We do not endorse or control these venues.
- Fees: Third-party venues may charge fees we do not set or guarantee. We may from time to time receive revenue shares or grants, which may be used for operational purposes.
- Custody: Non-custodial wallets and, where applicable, N-of-M multisig.
- No affiliation: “NodeMonkes,” “RadFi,” “Magic Eden,” and other referenced brands are unaffiliated third-party projects and trademarks.
